OVERVIEW OF THE ENTERPRISE

Hillcrest Holdings, Inc. (“Hillcrest”) is a Midwest-based, family-owned holding company that invests in privately-held, middle-market businesses. Hillcrest is a third-generation family enterprise, founded in 1955 in Cedar Rapids, IA. Its businesses operate in the transportation, insurance, IT services, and real estate industries, with consolidated annual revenues in excess of $1.6 billion. The origin of Hillcrest’s financial strength is its core legacy business, CRST International, one of the nation’s largest transportation companies. Currently, Hillcrest has very limited international activity.

K&S, LLC (“K&S”) is the family office for the John M. & Dyan C. Smith Family based in Cedar Rapids, IA. The Smith Family and various related trusts own Hillcrest. The office serves the complex Hillcrest operating business, one partnership, multiple LLCs, multiple trusts of varying types, a private family foundation (un-funded as of current), one second-generation family household (two individuals) and three third-generation family households (six individuals). The office provides a wide variety of financial, accounting, tax, estate planning, investment, insurance, educational, and administrative services. The office also oversees management of significant real estate holdings.

THE POSITION

This position will report to the K&S CEO, the Hillcrest Tax Director, and the Hillcrest Controller. The Finance Manager will interface directly and often with the CFOs of Hillcrest’s subsidiaries, with K&S, and with the Hillcrest Vice Presidents (collectively referred to as “the Stakeholders”).

The Finance Manager will be responsible for assisting with compliance and planning activities in both the financial and tax realms for K&S and for Hillcrest. In other words, the Finance Manager will be identifying and implementing planning opportunities to benefit any/all Stakeholders that arise from understanding the interplay between the book and tax profiles across the enterprise.

Key overall responsibilities:

  • Assist, in varying degrees, with both corporate and shareholder tax compliance

  • Prepare the provision for income taxes calculation for Hillcrest

  • Manage the financial compliance for Hillcrest and for entities served by K&S

  • Pursue efficiency and process improvement as opportunities arise

  • Empower the Stakeholders through education whenever and wherever possible

  • Cultivate a strong educational ethos – both personally and in the enterprise culture

  • Protect all enterprise assets

  • Build and strengthen relationships within the enterprise; collaborate with a goal of efficiency

  • Strive to simplify; complexity should be introduced only when necessary to achieve a stated goal

    Key responsibilities in the role of Finance Manager related to Hillcresttaxcompliance and planning:

  • Assist in the completion of federal, international, state and local income tax returns including all related analysis and support (whether through in-house or third-party services)

  • Manage audits of all federal, international, state, and local income tax filings

  • Correspond with taxing authorities as necessary, specifically in response to all corporate income tax notices

  • Monitor federal and state tax publications on an ongoing basis for relevant regulatory updates

  • Mitigate unknown tax liabilities through constant and consistent attention to tax legislation

  • Prepare the provision for income taxes and future taxable income projections

  • Assist with due diligence efforts for potential future acquisitions

  • Implement any tax planning strategies identified

    Key responsibilities in the role of Finance Manager related to Hillcrestfinancialcompliance and planning:

  • Provide insights as to possible process improvements at the holding company and its subsidiaries

  • Maintain the financial records and associated reconciliations for Hillcrest

  • Project cash flows that incorporate the various intercompany relationships

  • Consult with subsidiaries to provide them with additional resources when necessary

    Key responsibilities in the role of Finance Manager related to K&S:

  • Prepare tax returns and required estimates

  • Search for and implement tax planning opportunities

  • Seek opportunities to simplify structure and complexity

  • Assist with real estate transaction review and analysis

  • Provide a forward looking analysis for cash flows and wealth building

  • Manage financial analysis for various K&S stakeholders

    THE PERSON

    The ideal candidate will have a minimum of 5 years of experience in either public accounting or in industry.

    The candidate must have in-depth knowledge of at least one of the following areas: taxation, financial compliance, or financial planning and analysis. Additionally, the candidate must be able to learn quickly and adapt in order to meet the diverse needs of the position.

    The candidate must be able to communicate complex concepts in laymen’s terms and must have strong writing skills. Of equal importance are the candidate’s data management and problem-solving skills. He/she must be adept at data consolidation and have proven success in planning and financial modeling. The candidate must be able to consider the “big picture” while simultaneously giving rigorous attention to detail.

    The candidate should have excellent interpersonal and communication skills. He/she will exhibit strong personal motivation, a high level of initiative, and should be personable, persuasive, responsive and results-oriented. The candidate must demonstrate unquestioned integrity and a commitment to confidentiality at all times. He/she will have a strong sense of urgency and focus. The ideal candidate will have the drive, intellect and skillsets to facilitate change in the enterprise over time.

    EDUCATIONAL REQUIREMENTS

    An undergraduate degree in accounting (BS or BA) and a CPA certificate are required for this position.
