Job Description:

In the Regions’ Legal Department, an Assistant General Counsel will have the opportunity to provide legal advice and guidance to clients and colleagues on a wide variety of legal issues. The Legal Department is focused on attracting, retaining, and developing great people in an inclusive environment where each person is valued for the distinct skills and attributes they bring to the team. Primary Responsibilities

  • Partners and assists with business units to provide practical legal advice on issues related to complex business and banking matters

  • Provides strategic, pragmatic, and trusted legal advice to business units.

  • Advises management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the Bank

  • Monitors and remains up to date on emerging legislative developments that may affect the Bank

  • Participates in line of business-initiated projects such the drafting of policies and procedures on new regulations and amendments or new interpretations of existing regulations

  • Provides seasoned assessment of legal risk when business decisions are made, demonstrating consideration for the Bank’s reputation as well as our clients and assets

  • May work with outside counsel on legal issues impacting the Bank

  • May lead other Assistant General Counsel, specialist, or paralegal staff

  • May provide assistance with training bankers, associates, operational staff, and customer support staff on legal issues

This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.

Requirements

  • Law Degree

  • Licensed in good standing to practice law in at least one jurisdiction

  • Six (6) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experience

  • Ability to assimilate and analyze facts and present complex issues in a clear and concise manner and provide succinct results-oriented legal advice

  • Ability to build strong partnerships with business colleagues to drive results

  • Ability to manage a high-volume workload and reach prompt, pragmatic decisions

  • Ability to work in a collaborative environment with multiple stakeholders.

  • Advanced analytical, research, decision-making and problem-solving skills combined with effective time management and project management/planning skills.

  • Strong organizational skills

Additional Job Description

This position is part of the Legal Contracts group within the Corporate Legal Department.

Additional Responsibilities

  • Drafting and negotiating various agreements with third parties for the provision of products and services, including technology software licenses (on premise, SaaS, cloud), maintenance, hardware purchases, implementation services, consulting, training, telecommunications and confidentiality agreements

  • Collaborating with key stakeholders across the organization to ensure that both business and legal needs are captured in agreements through the inclusion of appropriate contractual provisions

  • Advising business units of potential risks associated with third party engagements

  • Recommending mitigation strategies

  • Serving as subject matter expert on third party contract M&A due diligence activities

Additional Preferences

  • Experience reviewing and negotiating contracts, preferably with vendors/service providers in regulated industries like financial institutions

This position may be filled at a higher level depending on the candidate’s qualifications and relevant experience.

Compensation Details

Pay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.

The target information listed below is based on the national range and level of the position.

$124,660.00 USD

Incentive Pay Plans:

This role is eligible to participate in the annual discretionary incentive plan. Employees are eligible to receive a discretionary award based on individual, business, and/or company performance.
