Overview of Job Function:

The Contract and Privacy Counsel will be part of Legal’s Procurement Contracts team supporting Verint’s procurement activities on a global basis. The position will require understanding of all aspects of the Verint business (procurement activities, revenue generating activities, operations, and strategic objectives), maintain a clear understanding of Verint’s policies and procedures on an international basis to help ensure vendor compliance, and be capable of assessing and securing proper protections for Verint to align with risk management objectives. This position will also be responsible for developing program and processes with the Procurement organization to help ensure Verint’s compliance with respect to privacy laws, regulations and contractual data protection requirements flowing from customer and partner sell-side arrangements.

This position requires strong international contract negotiation experience for the purchase of goods and services in the commercial sector, superior contract drafting skills, subject matter expertise in global privacy laws and regulations, and experience implementing vendor side privacy compliance programs. It requires an individual that is capable of operating in the middle of many different departments and disparate activities, can appropriately prioritize based on a multitude of objectives, and keep stakeholders informed and appropriately tasked and engaged. Essential are superior communication skills and ability to collaborate with others in multiple geographies, functions, and cultural orientations. The individual must be execution oriented, possess an ambition and passion for excellence, and the know-how for achieving the desired contractual outcomes. Role is US remote, but with a high preference to EST.

Principal Duties and Essential Responsibilities:

  • Negotiate and draft complex domestic and foreign law based contractual arrangements in alignment with Verint’s legal, compliance, internal operations, and sell-side contract requirements.

  • Maintain clear understanding of business requirements and ensure business terms and vendor obligations are reflected in final agreements.

  • Manage and maintain global privacy initiatives within the Procurement organization, including establishing baseline requirements that must be satisfied by vendors and implementation of processes supporting those requirements.

  • Primary Legal representative for Verint’s Vendorpedia deployment within the OneTrust platform.

  • Review and negotiate vendor data processing agreements, business associate agreements, data use agreements and other privacy related agreements.

  • Provide privacy related legal advice concerning privacy provisions in agreements to minimize legal and commercial exposure.

  • Challenge assumptions and interrogate opportunities to ensure business terms are fully understood and defined, all with a facilitative approach.

  • Provide legal assessment and guidance on contractual risks and obligations during the negotiation process.

  • Provide post-negotiation contract analysis and interpretation in conjunction with business activities and dispute management.

  • Participate in integration activities for acquired companies as it relates to vendor remediation, renegotiation, and consolidation efforts.

  • Manage and participate in complex projects as assigned.

  • Effectively mentor team members.

    Minimum Requirements:

  • JD from ABA accredited program (top tiered school preferred) with current license to practice law in their local State jurisdiction.

  • 8 to 10+ years relevant practice experience, including part with a top tier law firm.

  • Extensive experience working in or representing companies focused on commercial sector technology offerings.

  • Significant international transaction experience and legal contract negotiation experience in the commercial sector for technology related offerings, including technologies for internal business use, resell, and including software, hardware, SaaS, consulting, and other services.

  • Good working knowledge of federal, state, and global privacy laws and regulations, including CCPA, HIPAA and UK GDPR.

  • Clear understanding of data processing contract principles (including controller to controller, controller to processor) and related vendor compliance programs.

  • Experience working with Procurement and supporting international business transactions, activities and objectives and providing related legal analysis and practical advice.

  • Experience working within the OneTrust or similar platform.

  • Excellent verbal and written communication skills.

  • Deep understanding of intellectual property concepts and market positions on liability and risk relevant to contracting in the commercial sector.

  • Ability to work independently, in high-stress situations, and prioritize workload with minimal supervision.

  • Self-driven, team oriented, with experience working well in a collaborative environment.

  • Successful completion of a background screening process including, but not limited to, employment verifications, criminal search, OFAC, SS Verification, as well as credit and drug screening, where applicable and in accordance with federal and local regulations.

    Preferred Requirements:

  • International transactional experience.

  • Dispute resolution experience.

  • CIPP or other privacy certification(s).
