Position Overview:

As a Contracts Manager within GLS you will be supporting the company’s commercial sales business and other divisions of the legal department within VMware with a primary focus on Professional Services. While your primary responsibility is negotiation & transactional support to our U.S. customers, you will enjoy being part of a new and growing team of Contract Managers and Negotiators working collaboratively with our Commercial Legal Group (“CLG”) Attorneys, Global Commercial Programs Legal Team (“GCPLT”), Sales organization, Worldwide Professional Services Organization (“WWPS”), Deal Management Team, Finance, and the various Business Units in the U.S. and globally to ensure best-in-class, seamless support to our customers, partners, and third-party vendors. You will enjoy: (i) working independently with a high degree of autonomy; (ii) collaborating extensively with their team members to support transactions and to look for opportunities to optimize how we operate to scale support; (iii) digging into problems and finding creative solutions; and (iv) thinking critically and strategically.

Success in this Role:

Draft, review, and negotiate a broad range of agreements, with a primary focus on Professional Services Agreement (“PSA”) as you will spent most of your time on PSA and Statement of Work, but you will also be responsible for other agreement including Cloud, SaaS, software license, support, data privacy addendums, and security agreements. Advise on all aspects of those commercial transactions, including finance and business considerations.

  • Collaborate and partner effectively with the GLS, CLG Attorneys, Business Units, Sales organization, Worldwide Professional Services (“WWPS”), Finance and Deal Management Team.

  • Provide training and counseling to other members of the GLS Team, CLG Attorneys, Sales professionals, etc. Coordinate with other groups within the global Legal Department on compliance matters.

  • Act as a fiduciary for the company in driving compliance in day-to-day sales activities.

  • Regularly contribute to and refine legal templates, playbooks, and guidance documents. Support department-wide efforts to organize, manage, and archive contracts and agreement templates.

  • Draft, review and negotiate PSA and SOW independently with minimal supervision within 30 days.

  • Assist executives, Sales professionals, and other members of the Legal Department with matters relating to our standard contract templates and agreements already in place with customers within 60 days.

  • Participate in special projects within the Legal Department to develop, implement and enhance processes and policies that improve transaction velocity, efficiency, and standardization without material increase in risk.
