The Position

We are seeking a highly motivated Corporate Contracts Specialist to join our expanding Cleo Legal team. This position can work remotely from anywhere in the US – it is all about finding the right fit!

This is a highly-visible role where you will partner with senior leadership to manage the operational delivery and development of contracts, monitoring performance and achievement of contract requirements, and providing guidance and support at all stages of the contracting process. You will bring a broad scope of knowledge and expertise in the areas of: Non-Disclosure Agreements, Statements of Work, Change Requests, Contractor Agreements, etc.

What you will be doing:

  • Draft, review, and provide advice and support in connection with a range of routine contract types, including non-disclosure agreements, statements of work, change requests, customer agreements, order forms and related contract extensions, independent contractor agreements, and vendor agreements

  • Review and respond to redlines to contracts when received from the other side

  • Support business teams by responding to various operational legal questions that arise on a daily basis

  • Manage and lead contract negotiations directly with customers and vendors

  • Manage contracts database and other record keeping

  • Assist with managing and optimizing contract, signature, and workflow systems

  • Analyze all requirements and provisions in contracts to ensure compliance with all laws and regulations and company policies

  • Complete other projects as assigned, such as continuous process improvement and working with stakeholders to review and update templates and tools

  • Work across time zones as needed, and effectively manage workload around business cycles, like quarter and year end

Your Qualifications:

  • 2-4 years of experience in contract review and negotiations

  • Bachelor’s Degree required, JD is a Plus

  • An enthusiastic, keen and proactive attitude, being a collaborative team player with low ego

  • The ability to effectively review and edit basic legal documents and to negotiate directly with clients on those documents to closure, within desired SLAs

  • Experience with setting priorities and working in a fast-paced environment that is deadline-driven and detailed oriented. You must have the ability to handle a multitude of tasks and responsibilities simultaneously

  • The ability to work independently and with a sense of urgency to thrive in a high energy environment where tasks, priorities, and projects change rapidly

  • Good business judgment and excellent communication and negotiation skills

  • High proficiency with Microsoft Office Suite including Word, Outlook and Excel

Preferred, but not required:

  • SaaS contracts experience, or experience working for a midsize technology company

  • Experience functioning as a liaison with other internal groups, and as a representative of the Legal Department with external parties.

  • Proficiency with Salesforce and DocuSign

  • Experience with contract management software implementation
