You will work cross-functionally with stakeholders across the organization to provide legal support to the Business Development organization for mergers & acquisitions, licensing and other complex transactions.

Primary Responsibilities:

  • Work closely with management in business development and licensing functions on complex legal transactions led by the Company.

  • Provide both deal and strategic advice to business development, management and executive business partners.

  • Negotiate and document highly sophisticated Mergers and Acquisition ( M&A), joint venture, licensing, collaboration and other complex transactions.

  • Advise on relevant antitrust, FTC, SEC and corporate laws impacting various projects.

  • Supervise activities and manage relationship with outside counsel, as needed, to support transactions.

  • Provide legal services, advice and guidance consistent with law and Company policy; further business objectives and appropriately balance divisional/function/corporate business objectives and legal risks.

  • Exercise judgment to drive decisions on routine and non-routine matters within area of practice.

  • Some domestic and international travel required.

Education Minimum Requirements:

  • Bachelor's degree from an accredited institution.

  • Graduate of an accredited U.S. law school, with admission to the Bar of New Jersey, Pennsylvania or another state.

Required Experience and Skills:

  • Seven (7) or more years of experience in a top-tier law firm or corporate setting.

  • Excellent teamwork, communication (written and oral) and analytical skills, and a high degree of business acumen.

  • Experience in managing a significant workload, with the ability to juggle competing tasks in a fast paced and challenging environment.

  • Experience drafting legal transactional documents and advising on business and legal risks in specific transactions.

  • Experience in operating independently in ambiguous circumstances.

  • Experience in handling complex transactional matters in the healthcare/pharmaceutical or related industries.

  • Ability to be proactive and take initiative.

  • Experience partnering with senior leaders in a highly matrixed environment in a global context.

Hybrid working environment and candidates need to be in a commutable distance from the Jersey City, NJ office.
