Verint is currently seeking Equity Plan Manager to be responsible for the overall management of the Company’s equity-based compensation programs, including compliance, reporting, internal accounting and record-keeping, and the administration of ongoing equity transactions. This position reports to Finance but will collaborate with various functions across the company in performing regular activities including Payroll, SEC reporting, Tax, Legal, and HR functions.

This role works closely with E*TRADE, our Israeli Trustee, our transfer agent, external legal counsel, and others to ensure all equity transactions are properly processed and appropriate tax and regulatory filings are accurate and timely. The ideal candidate will share their previous stock administration experience and attention to customer service.

Principal Duties and Essential Responsibilities:

  • Administer the Company's equity compensation plans, including managing all equity transactions at E*TRADE, including but not limited to equity award (RSUs & PSUs) grants and releases, amendments, terminations/cancellations, etc.

  • Assist in development and maintenance of policies and procedures related to stock administration.

  • Manage year-end statements and tax filings related to equity awards.

  • Maintain employee equity database integrity and ensure accurate record keeping of all equity data.

  • Manage the relationship and data flow with our Israeli trustee.

  • Manage external vendor relationships (E*TRADE, Broadridge (transfer agent), external counsel, etc.

  • Partner with Accounting, Payroll, Finance, Legal and HR teams.

  • Provide excellent customer service to equity participants at all levels of the organization.

  • Work with cross-functional stakeholders to implement process improvements for operations.

  • Review and generate accurate recurrent and ad-hoc equity reports for multiple internal and external corporate partners (e.g., HR, Payroll, Tax, Finance, etc.).

  • Prepare and reconcile monthly, quarterly and custom reports on equity activity, including shares outstanding and share reserves among company records, the transfer agent and broker records.

  • Help educate participants on equity incentive programs.

  • Work with internal and external auditors and finance team for quarterly reviews, year-end audits, and SOX compliance, as needed ensuring SOX compliance and maintenance of internal controls.

  • Assist in implementing process improvements and supporting automation initiatives.

  • Provide data for quarter end and annual reporting, 10-Q, 10-K, Proxy Statements and D&O questionnaires.

    Minimum Requirements :

  • Bachelor’s degree in business, finance, or equivalent work experience.

  • Minimum 6 years of experience in stock plan management with global public company.

  • Proficiency using E*TRADE’s Equity Edge Online or similar equity administration platform.

  • Experience with stock options, RSUs, and other forms of equity-based incentives.

  • Experience with US Federal and State equity compensation taxation, securities law, and reporting requirements.

  • Experience with implementing and administering non-US equity compensation plans, including compliance with international taxation, securities law, and reporting requirements.

  • Familiarity with US GAAP accounting standards related to equity compensation (ASC 718).

  • Experience working with in-house finance teams to support quarterly and annual financial reporting processes.

  • Experience in working with Israeli Trustees and knowledge of Israeli equity compensation taxation and reporting requirements.

  • Ability to work in a fast-paced environment, manage competing priorities, adhere to tight deadlines, and collaborate with stakeholders across the business.

  • Strong customer service focus and attention to detail.

  • Strong Microsoft Excel skills

  • Ability to establish and maintain positive relationships with stock plan participants

  • Excellent written and verbal communication skills; ability to effectively communicate across departments.

  • Successful completion of Verint background screening process including, but not limited to, employment verifications, criminal search, OFAC, and SS verification.

    Preferred Qualifications

  • CPA preferred.

  • Certified Equity Professional (CEP), preferred.
